Terms of Service

Moshee is a conversational commerce AI agent ("AI Agent") designed to help small and medium-sized businesses manage, qualify, and convert sales leads from multiple channels.

These Terms of Service ("Terms") govern the access to and use of the mobile application, the AI Agent and services ("Services") provided by Carousell Trust Pte. Ltd ("Moshee", "we", or "us"). By subscribing or using the Services in any manner, you ("Merchant" or "you") agree to observe and be bound by these Terms and the additional terms and conditions and policies referenced herein and/or available by hyperlink.

If you are entering into this agreement for and on behalf of a business entity, and the term "you" in this agreement shall mean the business entity on whose behalf you are using the Services, unless the context does not permit.

Moshee reserves the right to change or modify these Terms at any time. You will be deemed to have agreed to the amended Terms by your continued use of the Services following the date on which the amended Terms are posted here.

1. Definitions

"AI Generated Content" means any text, responses, suggestions, or communications generated by Moshee in response to Merchant Data or End Customer inquiries.

"Anonymised Data" means any Context, data or information transmitted via the Services or derived from Merchant Data or communications with End Users that has been processed through industry-standard de-identification techniques such that:

  1. It does not contain any Customer Data
  2. It cannot be reasonably used to re-identify any individual, even when combined with other information; and
  3. It is no longer considered personal data under the Personal Data Protection Act of Singapore.

"Authorised Users": Individuals authorised by you to access the Services.

"Customer Data": All personal data contained within the conversational logs between you and your End End Customers via the Services.

"Confidential Information": All non-public information disclosed by one party to the other that is either explicitly marked as confidential or should reasonably be understood as such based on its nature or the circumstances of disclosure, including business plans, product roadmaps, and non-public input.

"End Customers": The end-user or individual or entity that communicates with the Merchant through the Third-Party Channels and whose communications are processed, managed, or responded to by the Moshee Services.

"Merchant Data": Information relating to the Merchant or uploaded to the Services by the Merchant namely account information, business profiles, its customers/leads, product listings. Merchant Data expressly excludes any System Data, AI Generated Content, and Anonymised Data.

"Moshee AI System" means the proprietary AI architecture developed by Moshee, including but not limited to the Standard Recipes, Unique Recipes, fine-tuned model parameters, prompt engineering, agentic workflows, and the specific configurations of Third-Party Models used to provide the Services.

"Standard Recipe" means the foundational, industry-specific artificial intelligence model and response logic developed by Moshee for general use within a specific market or category.

"System Data" means (i) all data derived from the Merchant's use of the Services; (ii) any metadata generated by the AI Agent; and (iii) any improvements, modifications, or learnings to the underlying AI models, algorithms, or weights resulting from the processing of Merchant Data.

"Third-Party Platforms": External services you connect to Moshee, including WhatsApp, and Moshee.

"Third-Party Models" means the foundational large language models or other artificial intelligence technologies developed and owned by third parties (e.g., Google's Gemini or Open AI's ChatGPT) that are utilised as a component of the Services.

"Unique Recipe" means the customised layer of the Standard Recipe consisting of Merchant-specific responses, configuration settings, and learnings derived from the Merchant's actual and direct responses in chats or specific Inputs that are not AI Generated Content.

2. Use of the Services

Subject to your compliance with these Terms, Moshee grants you a non-exclusive, non-transferable license to use the Services for your business purposes.

You shall use the Services in accordance with these Terms and shall not:

  • Copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, interfere with, or disrupt the integrity or the performance of the Services.
  • Make any modification, adaptation, improvement, enhancement, translation or derivative work from the Services.
  • Violate any applicable laws, rules or regulations in connection with your access or use of the Services.
  • Use the Services in violation of or to circumvent any sanctions or embargo.
  • Remove, alter or obscure any proprietary notice (including any notice of copyright and trademark) of Moshee or its affiliates, partners, suppliers or licensors.
  • Use the Services for any purpose for which it is not designed or intended.
  • Use the Services to create or promote a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for the Services or any services, product or software offered by Moshee.
  • Use any proprietary information or interfaces of Moshee or any other intellectual property of Moshee in the design, development, manufacture, licensing or distribution of any application, accessories or devices for use with the Services.
  • Use the Services to send, post, or otherwise communicate any information or material which is false, offensive, indecent, threatening, abusive, insulting, harassing, defamatory, libellous, deceptive, infringing, fraudulent, tortious, obscene, profane, invasive of another person's privacy, or racially, ethnically or otherwise objectionable.
  • Use the Services to send automated, unsolicited or unauthorised messages, advertising or promotional material or any junk mail, spam or chain letters.
  • Upload to, or transmit through the Services any data, file, software or link that contains or redirects to a virus, Trojan horse, worm or other harmful components.
  • Use any scraper, robot, bot, spider, crawler or any other automated device or means to access, acquire, copy or monitor any portion of the Services, or any data or content found or access through the Services.
  • Collect any information in respect of other users without their consent.
  • Commit any act to avoid paying any applicable fees and/or charges.
  • Attempt to and/or engage in any activity or act that is intended to abuse, abuses or inappropriately manipulates any promotion, campaign and/or discount codes offered through the Services.
  • Allow your use of the Services to present to Moshee a risk of non-compliance with anti-money laundering, counter terrorist financing and similar regulatory obligations.
  • Authorise or encourage anyone to do any of the foregoing.

2.1. Money Laundering

You shall at all times be in compliance with all material aspects with applicable financial recordkeeping and reporting requirements and the money laundering statutes of all applicable jurisdictions, the rules and regulations thereunder and any related or similar rules, regulations or guidelines issued, administered or enforced by any governmental agency.

2.2. Provision of Services in United Kingdom or European Union

Moshee does not: (a) offer goods or services to, or monitor the behaviour of, United Kingdom and European Union data subjects; and (b) process and/or hold the personal data of data subjects residing in the United Kingdom and European Union.

3. Artificial Intelligence

You may provide input ("Input") to the Services, submit or make available information about your business such as your business profile and product catalog, for processing, which may include text, documents, or website URLs and receive output or generate an output in response to inquiries, requests and interactions from End Customers ("Output"). Input and Output are collectively "Content." You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.

You acknowledge that:

  • the Services utilises artificial intelligence to produce the Output.
  • Artificial intelligence and machine learning are rapidly evolving fields of study. While we are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial, given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that may not always be perfect and may contain errors, omissions, bias or inaccuracies.
  • you remain responsible for ensuring the End-User does not disclose highly sensitive information (e.g., credit card numbers) via the Services.

When you use our Services you understand and agree:

  • Output may not always be accurate. You should not rely on Output from our Services as a sole source of truth or factual information, or as a substitute for professional advice.
  • You are responsible for the accuracy of the Output and must monitor the conversations and Output for accuracy and appropriateness for your use case, including using human review as appropriate.
  • You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.
  • Our Services may provide incomplete, incorrect, or offensive Output that does not represent Moshee's views. If Output references any third party products or services, it does not mean the third party endorses or is affiliated with Moshee.
  • You are solely responsible for monitoring Moshee's interactions with the End Customer. You must ensure that a human is available to intervene or correct Moshee if an End Customer expresses dissatisfaction or if Moshee provides incorrect information.
  • That we do not warrant that the use of Moshee will lead to increased conversions, sales, or specific business outcomes.

3.1. AI Model Training and Data Usage

The Services utilise a dual-layer architecture. Depending on the type of subscription of the Merchant, the Merchant acknowledges that their AI Agent may consist of:

  1. A Standard Recipe provided as part of the base Service; and
  2. A Unique Recipe tailored to the Merchant.

To provide the most effective conversational experience, Moshee continuously improves its Services including and not limited to the Standard Recipe. The Merchant acknowledges and agrees that Moshee may use Anonymised Data to train, improve, and fine-tune its artificial intelligence models and algorithms. Moshee shall only utilise Anonymised Data for such training purposes. While Moshees shall implement reasonable technical safeguards and filtering mechanisms designed to prevent Customer Data from being incorporated into Third-Party Models, you remain responsible for ensuring the End-User does not disclose highly sensitive information (e.g., credit card numbers) via the Services.

You retain ownership rights in the Merchant Data which you upload or share on the Services but you grant Moshee a worldwide, fully-paid, royalty-free, sub-licensable, and transferable licence to host, store, use, display, reproduce, modify, adapt, edit, publish and distribute Content and Merchant Data (subject to our Privacy Policy) for the purpose of:

  1. operating, developing, providing, promoting, and improving the Services;
  2. developing, training, and improving Moshee's AI models and algorithms;
  3. analysing common customer inquiries and service trends;
  4. enhancing the conversion capabilities of the AI Agent;
  5. to research and develop new products and services; and

to the fullest extent permitted by law, you irrevocably waive all moral rights (including but not limited to the right to be identified) you may be entitled to under any law or jurisdiction in relation to the same.

Notwithstanding the generality of the foregoing, you agree that all right, title, and interest in outputs, model weights, or communication patterns learned or refined by Moshee through the processing of Anonymised Data belong exclusively to Moshee and may be used by Moshee to provide services to other users of its Services.

4. Account Security and Restrictions

You would need to have an account with Moshee ("Account") in order to use the Services. When you create an Account, you represent and warrant that:

  • If you are representing a company, organisation or any other legal entity, you have authority to bind the such entity to these Terms.
  • You are capable of entering into and performing legally binding contracts under applicable law.
  • All information which you provide is accurate, up to date, truthful and complete.

You are responsible for all activities and transactions under your Account and for managing and ensuring that all authorised users within your organisation comply with these Terms. We will not be responsible in any way if your password and/or Account are misappropriated or used by a third party. You, therefore agree to:

  • Keep your password secure.
  • Keep your account information up to date at all times.

You shall not:

  • Lend, transfer, or sell your Account, user ID, or login credentials to any other party;
  • Use another Merchant's Account without their express permission;
  • Share your Account credentials with other Merchants to circumvent these Terms or any subscription charges.

To this end, Moshee reserves the right to suspend or terminate your Accounts and/or your access to the Services at any time, without advance notice or liability to you. Moshee reserves the right to treat multiple Accounts set up by or on behalf of the same user as one. This includes the right to treat the funds held in multiple Accounts as one, including to debit any such Account to satisfy debts, payments and refunds under any other Account held by you or on your behalf.

5. Suspension and Termination of Services

You can cancel your Moshee subscription at any time. Upon cancellation, your account will revert to a free plan with limited features. Your account data, business information, FAQs, and inventory will be retained so that your setup is preserved if you choose to resubscribe in the future.

If you wish to permanently terminate your relationship with us, you can delete your Account via the Account Settings within the app. To protect you from accidental or unauthorised data loss, the following process applies:

  • 30-day cooling-off period: Upon receiving your deletion request, your Account will be deactivated immediately, but your Merchant Data and Customer Data will be retained for a period of 30 days. During this window, you may cancel the deletion request by sending an email to [email protected] to reactivate your account. All reactivation requests must be received by Moshee 3 business days before the expiry of the 30 days period.
  • Permanent deletion: Once the 30-day period expires, your Merchant Data and Customer Data will be permanently deleted so that it can no longer be associated with you, subject to any legal or regulatory requirements that mandate longer retention (e.g., for tax, audit, or fraud prevention purposes). It is your responsibility to backup the Merchant Data and Customer Data and any information which you upload to the Services.

Moshee reserves the right to, at its sole discretion, and without liability:

  • Suspend or terminate your Account and/or your access to the Services (in whole or in part) at any time, for any breach of these Terms, our guidelines, any additional terms and conditions and policies.
  • Suspend or terminate your Account and/or your access to the Services (in whole or in part) at any time, for any reason, and without advance notice.
  • Change, modify, suspend or discontinue, whether temporarily or permanently, the whole or any part of the Services at any time, for any reason, and without advance notice.
  • Suspend or terminate your Account and/or your access to the Services (in whole or in part) at any time, in the event of any act, threats of, verbal and/or written abuse against any Moshee employees, representatives and/or officer.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease.

6. Third-Party Services

Moshee allows you to integrate with the following Third-Party Platforms:

  • Whatsapp

If you allow for any of the integrations, you acknowledge that the integration shall be subject to or governed by additional terms and conditions of the Third-Party Platforms, its partners, subcontractors and/or agents ("Additional Terms"). You acknowledge that you have read, understood, and agree to comply with such Additional Terms.

You agree that:

  • You are responsible for maintaining your own valid account and platform credentials in good standing with such Third-Party Platforms.
  • If a Third-Party Platform suspends or terminates your account for any reason, Moshee shall have no liability for any resulting loss.

7. Privacy, Security and Confidentiality

Your use of Moshee is subject to our Privacy Policy, which describes how we collect and use data. You acknowledge and agree that we use third-party sub-processors (e.g., cloud hosting and AI model providers) to provide the Services.

You represent and warrant that:

  • you have obtained all necessary consents, provided all required notices, and has a valid lawful basis under applicable data protection laws to share End Customer data with Moshee and to utilise Moshee's Services, including the AI Agent for communications;
  • you shall, at all times, maintain and clearly disclose a comprehensive privacy notice to all End Customers which:
  • Accurately describes your collection, use, and disclosure of Customer Data;
  • Explicitly discloses that you utilises third-party service providers (such as Moshee) and artificial intelligence technologies to process data and facilitate communications; and
  • Provides End Customers with a clear mechanism to exercise their data protection rights.
  • You will not use the Services in any manner that would cause Moshee or any of its Related Companies (as defined below) to violate any applicable data protection laws.

Moshee acts solely as a data intermediary with respect to Customer Data. You acknowledge and agree that Moshee has no direct relationship with any End Customer and that you are solely responsible for responding to any End Customers' requests regarding their personal data (such as access or deletion requests). Moshee shall maintain commercially reasonable administrative, physical, and technical safeguards designed to protect the security and integrity of Merchant Data and Customer Data.

8. Fees and Payment

Depending on the additional services you may request in relation to your Account, you may be charged subscription fees ("Fees"). You are responsible for all Fees and taxes associated with your use of Moshee.

You may pay the Fees using a credit card, debit card, or by way of telegraphic, other electronic means of transfer or through any of the methods as may be made available or as may be notified to you from time to time.

You acknowledge and agree that:

  • for subscriptions or recurring payments, you will provide complete and accurate billing information, including a valid payment method. For paid subscriptions, we will automatically charge your payment method on each agreed-upon periodic renewal until you cancel. If your payment cannot be completed, we may downgrade your account or suspend your access to our Services until payment is received.
  • all Fees are non-refundable. For the avoidance of doubt, there will be no refunds of any Fee in the event that your Account is suspended or terminated due to a breach of these Terms;
  • you shall make prompt payment of all Fees, in full before the due date stipulated for such payment (where applicable) and in accordance with our payment instructions. In the event of late payment or non-payment of amounts due to Moshee, without prejudice to any other rights or remedies available to us, Moshee shall be entitled to: (i) terminate and/or suspend your Account and/or your access to the Services; and/or (ii) charge you a late payment fee on the overdue amount at the rate of 1.5% per month, or, if lower, the maximum rate allowed by applicable law. You shall pay such fees together with the overdue Fees and any legal fees and collection costs incurred by Moshee in collecting any past due amounts. This fee will be applied on the day after the payment due date and will applied each month until the overdue amount is paid;
  • in the event your Account is suspended or terminated for any reason any amounts due on your Account will immediately become due and payable. Moshee reserves the right to immediately charge any amounts you have not previously disputed to the billing method that you are using and shall be entitled to terminate your Account, without prejudice to any other rights or remedies available to us; and
  • you are responsible for collecting and paying any taxes associated with using and making sales through the Services. Depending on the tax legislation of your country of residence, goods and services tax or similar consumption tax might apply in addition to the Fees.

9. Disclosure to Related Companies and Affiliates

You acknowledge and agree that Moshee is part of the Carousell Group. To provide a seamless experience across our ecosystem, Moshee may share Merchant Data, Customer Data, and System Data with its related companies ("Related Companies") (which includes any subsidiary, holding company, or affiliate under the common control of Carousell Group).

Such disclosure is permitted for the following purposes:

  • To enable Related Companies to provide, support, or host the Services
  • To allow for the development, training, and improvement of Services, AI models, algorithms across the Carousell Group;
  • For internal reporting, billing, risk management, and legal compliance; and
  • To facilitate and confirm transactions or communications that originate on one Carousell Group platform and are managed via the Moshee Services.

You represent and warrant that your privacy policy to End Customers explicitly discloses that data may be shared with Moshee's Related Companies for the purposes set out in this section.

Moshee reserves the right to delegate, sub-contract or otherwise arrange for any Related Companies, service providers, partners, subcontractors and/or agents to perform any part of the Services as Moshee deems appropriate.

10. Moshee is a communication tool

The Services provide a venue for you to manage your communication with the End Customers. Moshee does not pre-screen an End Customer or the Content provided by you nor is Moshee directly involved in transactions between you and your End Customer. Consequently, Moshee has no control over, and you agree that Carousell is not responsible or liable for, any of the following:

  • The quality, safety, morality, legality or authenticity of any aspect of the items advertised and/or listed by you.
  • The truth or accuracy of the listings, the ability of you to sell or trade the items or the ability of your End Customer to pay for items.
  • Any Input.

11. Warranties and Disclaimers

You acknowledge and agree that the Services, including integrations with Third-Party Platforms are provided on an "as is" and "as available" basis, and that your use of or reliance upon the Services and any Output, content, products or services accessed or obtained thereby is at your sole risk and discretion.

All conditions, representations and warranties, whether express, implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are hereby excluded and disclaimed to the fullest extent permitted under the law.

Moshee relies on the availability of the Third-Party Platforms that you choose to integrate with. You acknowledge that Moshee cannot guarantee the continuous availability of these Third-Party Platforms. Any service outages, maintenance windows, or application programming interface deprecations by these platforms are beyond our control. Third-Party Platforms may update their technical requirements or features without notice. We reserve the right to modify or remove certain Moshee's functionalities and Services to maintain compliance with these external changes.

Moshee does not represent or warrant that: (a) the use of the Services will be secure, timely, uninterrupted or error free or that they will be compatible or operate in combination with any other hardware, software, system or data; (b) the Services will meet your requirements or expectations; (c) errors or defects in the Services will be corrected; (d) the Services and Moshee's servers are free of viruses or other harmful components; or (e) the use of AI will always produce non-biased, accurate or reliable results.

12. Discontinuation of Service Limitation of Liability

YOU ACKNOWLEDGE AND AGREE THAT YOUR ONLY RIGHT WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH THE SERVICE IS TO REQUEST FOR DELETION OF YOUR ACCOUNT AND/OR DISCONTINUE ANY USE OF THE SERVICES.

IN NO EVENT SHALL MOSHEE OR ITS RELATED COMPANIES, PARTNERS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES OR THE USE OF ANY AI ASSISTED FEATURES OR ANY THIRD PARTY CONTENT AND SERVICES, OR ARISING OUT OF OR IN CONNECTION WITH YOUR CONDUCT OR THE CONDUCT OF END CUSTOMERS IN CONNECTION WITH THE USE OF THE SERVICES INCLUDING WITHOUT LIMITATION DEATH, BODILY INJURY, EMOTIONAL DISTRESS AND/OR OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER USERS OR PERSONS YOU MEET THROUGH THE SERVICES, WHETHER OR NOT THE DAMAGES WERE FORESEEABLE AND WHETHER OR NOT CAROUSELL WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, MOSHEE'S AGGREGATE LIABILITY TO YOU (WHETHER UNDER CONTRACT, TORT, STATUTE OR OTHERWISE) SHALL NOT EXCEED THE AMOUNT OF FEES RECEIVED BY MOSHEE IN THE PAST TWELVE MONTHS IN RESPECT OF THE SERVICES GIVING RISE TO SUCH CLAIMS. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Nothing in these Terms shall apply to or in any way limit or exclude Moshee's liability for: (a) death or personal injury caused by its negligence; (b) dishonesty, deceit or fraudulent misrepresentation; or (c) liability which may not otherwise be limited or excluded under any applicable laws and regulations

13. Compatibility

Moshee does not warrant that the Services will be compatible or interoperable with your device or any other piece of hardware, software, equipment or device installed on or used in connection with your device. Furthermore, you acknowledge that compatibility and interoperability problems can cause the performance of your device to diminish or fail completely, and may result in permanent damage to your device, loss of data located on your device, and corruption of the software and files located on your device. You acknowledge and agree that Moshee and its Related Companies,, partners, suppliers and licensors shall have no liability to you for any losses suffered resulting from or arising in connection with compatibility or interoperability problems.

14. Intellectual Property

You acknowledge and agree that the Services are powered by a combination of Third-Party Models and Moshee's proprietary technology. As between parties, Moshee (or its Related Companies) retains all right, title, and interest in and to:

(a) Services, Standard Recipes;

(b) the Moshee AI System, including its architecture, code, agentic logic and the software and structural framework used to generate any Unique Recipe;

(c) the source and object code of the Services and the format, directories, queries, algorithms, structure and organisation of the Services;

(d) fine-tuned weights, parameters, and configurations derived from Moshee's optimisation of any Third-Party Models;

(e) all copyright, patents, trademarks, trade secrets and other intellectual property rights associated therewith,

(f) all System Data, Anonymised Data and AI Generated Content,

(collectively, the "Platform IP") are and shall remain the intellectual property and proprietary and confidential information of Moshee.

You are not granted any intellectual property rights in and to the Services not expressly granted in these Terms and such rights are hereby reserved and retained by Moshee.

The Services may utilise or include third party software that is subject to open source and third party licence terms ("Third Party Software"). You acknowledge and agree that your right to use such Third Party Software as part of the Services is subject to and governed by the terms and conditions of the open source and third party licenses applicable to such Third Party Software, including, without limitation, any applicable acknowledgements, licence terms and disclaimers contained therein. In the event of a conflict between these Terms and the terms of such open source or third party licences, the terms of the open source or third party licences shall prevail with regard to your use of the relevant third party software. In no event shall the Services or components thereof be deemed to be open source or publicly available software.

You are not authorised by Moshee to use Moshee's trademarks in any advertising, publicity or in any other commercial manner without the prior written consent of Moshee, which may be withheld for any or no reason.

Nothing in these Terms shall be construed as a transfer of any ownership rights in the Platform IP to the Merchant, its End Customer or any third party.

15. Indemnity

You will indemnify and hold harmless Moshee, its Related Companies, partners, suppliers, licensors, shareholders, officers, employees, independent contractors and agents and all successors and/or assigns from and against any and all actions, claims, proceedings, damages, losses, costs and expenses resulting from: (a) your use of the Services; (b) your Merchant Data, Input and/or products; (c) any use of your Account; (d) your breach of these Terms; (e) your breach of any legal or statutory requirement, duty or law; or (f) your violation of any rights of another person or entity.

16. Miscellaneous

You and Moshee are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms.

If any provision of these Terms is held unenforceable, then such provision will be modified to reflect the parties' intention. All remaining provisions of these Terms shall remain in full force and effect.

Except as provided herein, any failure by Moshee to exercise a right or require performance of an obligation in these Terms shall not affect Moshee's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach of these Terms constitute a waiver of any subsequent breach.

You shall not assign any rights or delegate any obligations herein without our prior written consent and any attempted assignment or delegation in contravention of this provision shall be null and void and of no force or effect.

These Terms constitute the entire agreement between you and Moshee and supersedes all prior or contemporaneous understandings and/or agreements between you and Moshee.

17. Governing Law

You hereby agree that the laws of Singapore shall govern these Terms and that the courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
